Article 1: Scope of Application
These General Terms and Conditions of Sale (hereinafter the "Terms") apply, without restriction or reservation, to all sales concluded by the company Noveraxy LLC (hereinafter "the Seller") to consumers and non-professional buyers (hereinafter "the Customers" or "the Customer"), wishing to acquire the products offered for sale by the Seller on the website noveraxy.com (hereinafter "the Site").
These Terms specifically outline the conditions for ordering, payment, delivery, and management of any potential returns or claims.
The validation of the order by the Customer constitutes acceptance without restriction or reservation of these Terms. The Customer acknowledges having the requisite capacity to contract and acquire the products offered on the Site.

Article 3: Product Characteristics
The products offered for sale on the Site are exclusively digital products (dematerialized Google Sheets workbook files). These are pre-built business operations dashboards designed for freelancers and small agencies, intended for use with a free Google account via any modern web browser on desktop, tablet, or mobile.
Each product contains multiple interconnected spreadsheet tabs (such as Client CRM, Project Tracker, Revenue Dashboard, Task Manager, Invoice Log, and Business Insights). The main characteristics — title, description, features, and visuals — are presented on each product page.
The Seller takes the greatest care in presenting the products. However, slight differences in rendering (especially in color or layout) may occur depending on the screen, device, or browser used by the Customer. These differences cannot engage the responsibility of the Seller.
No physical product will be shipped to the Customer's postal address. This is a 100% digital product delivered via email.
Article 4: Pricing
The prices of the products are indicated in Euros (EUR) on the Site. Unless otherwise stated, prices are all taxes included for residents of countries where taxes are applicable according to current local legislation. The Stripe payment platform handles the possible calculation of applicable sales taxes according to the Customer's jurisdiction.
The Seller reserves the right to modify its prices at any time, but products will be billed based on the rates in effect at the time the order is recorded by the Customer.
All products are sold as one-time payments. There are no subscriptions, recurring charges, or hidden fees associated with any product on the Site.
Prices do not include expenses related to equipment (computer, tablet) or third-party software (Google account) required to use the digital products. The acquisition of these tools is the strict responsibility of the Customer.
Article 5: Orders
It is the Customer's responsibility to select on the Site the products they wish to order, according to the following process:
The sale will only be considered final after sending the Customer confirmation of the order acceptance by the Seller via email, and after full collection of the price by the Seller via the Stripe platform.
Any order placed on the Site constitutes the formation of an online contract concluded at a distance between the Customer and the Seller.
Article 6: Payment Terms
The price is payable in full and in a single payment upon validation of the order.
Payment is made by credit card (Visa, Mastercard, American Express) or via digital wallets (Apple Pay, Google Pay) through the secure payment provider Stripe, Inc. Stripe is an independent, PCI-DSS Level 1 certified payment processor. Payment data is exchanged in encrypted mode using TLS/SSL protocol. Noveraxy LLC has no access to your complete card details at any time.
By completing a purchase, you also agree to Stripe's own Terms of Service, available at stripe.com/legal/ssa, and acknowledge Stripe's Privacy Policy at stripe.com/privacy.
In case of payment failure (refused card, insufficient funds), the order will not be validated and the digital files will not be delivered.
Article 7: Delivery of Digital Products
As these are dematerialized digital products, delivery consists of the provision of a download or access link.
Once payment is validated, an email containing the access link to the Google Sheets workbook is automatically sent to the email address provided during the order, typically within 60 seconds of payment confirmation. The Customer can then duplicate the file to their personal Google Drive.
If you do not receive the email (check your spam/junk folders), the Customer is invited to contact customer service at support@noveraxy.com with proof of their purchase.
Delivery is considered complete once the email containing the access link has been sent to the Customer's email address.
Article 8: Right of Withdrawal & Refund Conditions
In accordance with legal provisions regarding the supply of digital content not supplied on a tangible medium whose performance has begun after prior express agreement from the consumer (immediate delivery), the Customer's right of withdrawal is waived once the access link is delivered.
However, this does not mean you have no recourse. If you experience a significant technical issue with your product that prevents you from accessing or using the workbook, please contact us within 14 days of purchase at support@noveraxy.com. We will work with you to resolve the problem, and in eligible cases, we will process a full refund.

Article 9: Intellectual Property
The content of the Site, as well as all digital products sold (spreadsheet structure, formulas, design, layout, charts, text, and branding), are the exclusive property of Noveraxy LLC and are protected by US and international intellectual property and copyright laws.
The purchase of a product only grants the Customer a personal, non-exclusive, and non-transferable license to use. This license is strictly limited to the Customer's individual or internal business use.
Article 10: Prohibited Use & Copyright Infringement
It is strictly prohibited, on pain of civil and criminal prosecution:
Any Customer caught in violation will have their license revoked and faces financial penalties for copyright infringement under applicable law.
Article 11: Force Majeure
The execution by the Seller of its obligations under these Terms will be suspended in the event of the occurrence of an act of God or force majeure that would hinder or delay its execution. These events include, but are not limited to: natural disasters, war, riots, internet network outages, major cyberattacks affecting our servers or our payment provider (Stripe), or prolonged outages of Google Sheets or Google Workspace services.
The Seller will notify the Customer of the occurrence of such an event as soon as possible.
Article 12: Personal Data & Privacy
The collection and processing of the Customer's personal data are carried out in compliance with the General Data Protection Regulation (GDPR) and current laws, particularly for European customers. The requested information is necessary for processing the order and issuing the invoice.
The Customer has the right to access, rectify, erase, limit, port, and withdraw their consent by simply requesting via email to support@noveraxy.com.

Article 13: Applicable Law & Language
These Terms may be translated into several languages, but the certified English text shall prevail in the event of a dispute.
In accordance with the company's headquarters, these General Terms and Conditions are governed and subject to the Law of the State of Wyoming, United States. However, if the Customer is a consumer residing in the European Union, they benefit in any case from the mandatory provisions of the law of their country of residence.
Article 14: Dispute Resolution
For any difficulty or claim related to an order, the Customer is invited to primarily contact customer service at support@noveraxy.com or via WhatsApp at +1 (307) 400-1835 to seek an amicable solution.
Any dispute that may arise concerning the interpretation or execution of these Terms, and which cannot be resolved amicably, will be submitted to the competent courts. For US consumers, the courts of Sheridan County, Wyoming will have jurisdiction. European consumers may seize the jurisdiction of their place of residence.
Article 15: Modification of Terms
The Seller reserves the right to modify these General Terms and Conditions of Sale at any time. The new version of the Terms will only apply to orders placed after it is posted on the Site.
The Customer is advised to save or print the Terms in effect at the time of their order.
Article 16: Liability & Compatibility
The Seller guarantees that the Google Sheets workbook files are functional and tested. Nevertheless, the user experience depends on the Customer's hardware (device, browser) and the availability of Google Sheets / Google Workspace services.
Noveraxy LLC cannot be held responsible if Google Sheets performs an update that changes formulas, formatting, or feature behavior. Our files are built using standard Google Sheets functionality. No refund will be granted on the basis that the Customer's specific device or browser does not correctly display standard Google Sheets features, if it is proven that the file works normally on standard browsers (Chrome, Safari, Firefox, Edge).
Noveraxy LLC is not responsible for data entered by the Customer into the workbook, nor for business decisions made based on the information displayed in the dashboard.
Article 17: Hosting & Link Availability
After purchase, the access link contained in your delivery email provides permanent access to the Google Sheets workbook. The Customer should duplicate ("File → Make a copy") the workbook to their personal Google Drive immediately after purchase to ensure they have their own independent copy.
Article 18: Acceptance
The fact of a natural or legal person ordering on the website noveraxy.com carries full adherence and acceptance to these General Terms and Conditions of Sale, which is expressly recognized by the Customer, who renounces, in particular, to rely on any contradictory document, which would be unenforceable against Noveraxy LLC.
